Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Helm website and your purchase of Helm products ("Products"). Read them carefully. By using the site or purchasing Products, you agree to these Terms.

These Terms form a legal agreement between you and Helm LLC ("Helm," "we," "us," or "our"), a company based in the State of California.

1. Acceptance

By accessing this site or placing an order for Products, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the site or purchase Products.

2. Eligibility

You must be at least 18 years old to purchase Products. By placing an order, you represent that you are 18 or older and legally capable of entering into a binding contract.

Helm reserves the right to refuse service to any person at our discretion.

3. Research Use Only

All Helm Products are sold exclusively for research purposes and are not intended for human consumption.

By purchasing, you expressly agree that:

  • Products will not be consumed by humans or animals outside a controlled research context
  • Products will not be administered to patients, research subjects, or any individual for medical treatment
  • Products will be handled, stored, and disposed of in accordance with standard laboratory safety practices
  • You are purchasing in your capacity as a researcher, scientist, or research-affiliated buyer

Helm Products are not FDA-approved and have not been evaluated by the Food and Drug Administration. They are not intended to diagnose, treat, cure, or prevent any disease. They are not medicines, drugs, dietary supplements, or prescription therapeutics.

4. Orders and pricing

We reserve the right to refuse or cancel any order for any reason, including but not limited to:

  • Suspected fraud or misrepresentation
  • Pricing or inventory errors
  • Product unavailability
  • Restricted shipping destinations
  • Unverifiable payment

Prices on the site are listed in US dollars and are subject to change without notice. The price in effect at the time your order is placed is the price that applies.

In the case of a clear pricing error — including but not limited to typographical errors or obvious mispricing — we reserve the right to cancel the affected order and issue a full refund.

5. Payment

Payment is required at the time the order is placed. We accept:

  • Credit and debit cards — via our third-party payment processor
  • Cryptocurrency — via BTCPay Server

By providing payment information, you authorize us to charge the specified amount to your chosen payment method. Failed, disputed, or fraudulent transactions may result in cancellation of your order and restriction of your ability to place future orders.

6. Shipping

Shipping of Products is governed by our Shipping Policy, which is incorporated into these Terms by reference.

7. Returns

Returns and refunds are governed by our Returns Policy, which is incorporated into these Terms by reference.

All sales are final except as provided in the Returns Policy.

8. Prohibited uses

You may not:

  • Purchase Products for resale without prior written authorization from Helm
  • Misrepresent the nature, origin, or intended use of Products in any secondary distribution
  • Use the site to violate any applicable federal, state, or local law or regulation
  • Attempt to bypass site security controls, access protected administrative areas, or interfere with normal site operation
  • Purchase Products for the purpose of human consumption or administration to another person
  • Use the site or Products to harass, defraud, or harm other users or any third party
  • Reverse-engineer, scrape, or automate interactions with the site without written permission

9. Intellectual property

All content on the site — including text, graphics, product photography, logos, typography, and software — is owned by Helm or its licensors and is protected by United States copyright, trademark, and other intellectual-property laws. You may not copy, reproduce, publish, distribute, or otherwise exploit any site content without prior written permission from Helm.

"Helm" and the Helm wordmark are trademarks of Helm LLC.

10. Third-party links and resources

The site may link to or reference third-party resources — for example, certificates of analysis hosted on third-party lab websites or publicly accessible research literature. Helm is not responsible for the content, accuracy, or policies of third-party websites.

11. Disclaimers

PRODUCTS AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, Helm disclaims all warranties, including but not limited to:

  • Warranties of merchantability
  • Warranties of fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties regarding the results obtained from research use of Products

Purity and batch-verification information is provided via third-party Certificates of Analysis and is believed to be accurate at the time of issuance. Helm does not guarantee that individual Product units will replicate published COA results indefinitely after shipment — storage conditions, time, and handling may affect stability.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HELM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES arising out of or related to your use of the site or Products, even if Helm has been advised of the possibility of such damages.

Helm's total aggregate liability for any claim arising from the site or Products shall not exceed the amount you paid Helm in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, Helm's liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Helm, its owners, employees, and agents from and against any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms
  • Your misuse of Products
  • Your violation of any law or the rights of any third party
  • Your use of Products outside the stated research-only purpose
  • Any content you submit through the site (including contact-form messages)

14. Dispute resolution — binding arbitration

Any dispute, claim, or controversy arising out of or related to these Terms or your use of the site or Products shall be resolved through binding arbitration, not in court, except as noted below.

Arbitration will be conducted by a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration will take place in the State of California, or at another mutually-agreed location. Each party bears its own attorneys' fees except as otherwise awarded by the arbitrator. The arbitrator's decision is final and binding.

Class action waiver. You agree to resolve disputes only on an individual basis. You waive the right to participate in any class action, consolidated action, or representative proceeding.

Exceptions. Either party may bring the following in court rather than arbitration:

  • Claims for injunctive relief
  • Claims within the jurisdiction of small-claims court
  • Claims to protect intellectual property rights

Opt-out. You may opt out of this arbitration clause by emailing support@helmresearch.comwith "Arbitration Opt-Out" in the subject line within 30 days of your first purchase. Opting out does not affect any other provision of these Terms.

15. Governing law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.

17. Entire agreement

These Terms, together with the Privacy Policy, Shipping Policy, and Returns Policy, constitute the entire agreement between you and Helm regarding your use of the site and purchase of Products.

18. Changes

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top. Material changes will be announced by email to customers with a current relationship with Helm. Continued use of the site after updates constitutes acceptance of the revised Terms. Your next purchase after a material update constitutes re-acceptance.
